1. Acceptance of Terms

Welcome to Smartin. By downloading, accessing, or using the Smartin mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Smartin ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

2. Description of Service

Smartin is a stock analysis tool that provides:

Stock screening and analysis based on fundamental investment principles
Educational content about investing
Entertainment features incorporating fictional character commentary
Information derived from third-party financial data providers

Entertainment Features: The App includes a "Character Commentary" feature that uses fictional character archetypes for entertainment purposes. Any financial views expressed by these fictional characters are satirical and should never be used as a basis for investment decisions. This feature is exclusively for entertainment and is completely separate from the App's analytical functions.

IMPORTANT: Smartin is NOT:

A registered investment advisor
A broker-dealer or financial institution
A source of personalized financial advice
A trading platform or execution service

3. Not Financial Advice

THIS IS THE MOST IMPORTANT SECTION. READ CAREFULLY.

3.1 Educational, Informational, and Entertainment Purpose

All content, analysis, scores, and information provided through the App is for educational, informational, and entertainment purposes only. The App combines investment analysis with entertainment features (including fictional character commentary) to make financial education more accessible and engaging.

Smartin Scores: Smartin Scores are generated by automated algorithms based on publicly available historical data and fundamental analysis principles. These scores do not reflect qualitative market conditions, insider information, or real-time events. A high score is NOT a recommendation to buy, and a low score is NOT a recommendation to sell. Scores are tools to assist your own research, not replace it.

Nothing in the App constitutes:

Financial advice
Investment recommendations
An offer to buy or sell securities
Professional financial, tax, or legal advice

3.2 Your Responsibility

You are solely responsible for:

All investment decisions you make
Conducting your own research and due diligence
Consulting with qualified professionals (financial advisors, attorneys, tax professionals)
Understanding the risks of investing

3.3 No Guarantees

We make no guarantees, representations, or warranties about:

The accuracy, completeness, or timeliness of any information
Investment outcomes or performance
The suitability of any security for your personal situation

3.4 Investment Risks

All investments carry risk. You may lose some or all of your invested capital. Past performance does not guarantee future results. Stock prices can and do go down as well as up.

4. User Accounts

4.1 Account Creation

You may use the App with or without creating an account. If you create an account:

You must provide accurate information
You are responsible for maintaining the security of your account
You must be at least 13 years old (users under 18 should have parental consent)
You agree to notify us immediately of any unauthorized access

4.2 Account Termination

We reserve the right to terminate or suspend your account at any time for:

Violation of these Terms
Fraudulent or illegal activity
Abuse of the service
Any other reason at our sole discretion

You may delete your account at any time through the App settings.

5. Subscriptions and Payments

5.1 Subscription Tiers

The App offers multiple subscription tiers with different features and usage limits:

Free tier with limited daily checks
Pro subscription with expanded features
Premium subscription with maximum features

5.2 Payment Processing

All subscription payments are processed through the Apple App Store. By subscribing, you agree to Apple's Terms of Service and privacy policies. We do not process or store your payment information directly.

5.3 Pricing

Subscription prices are displayed in the App and may vary by region. Prices are subject to change with notice. Changes will not affect existing subscribers until their next renewal period.

5.4 Free Trials

If you participate in a free trial:

Your subscription will automatically begin at the end of the trial period
You will be charged unless you cancel before the trial ends
You may cancel through the App Store at any time during the trial
Any unused portion of a free trial period will be forfeited when you purchase a subscription

5.5 Automatic Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage or cancel subscriptions through your App Store account settings.

5.6 Refunds

Refund requests are subject to Apple's refund policy. We do not control Apple's refund decisions. Contact Apple Support for refund requests.

6. Data and Privacy

6.1 Data Collection

We collect and process data as described in our Privacy Policy. By using the App, you consent to our data practices as outlined in the Privacy Policy.

6.2 Third-Party Services

The App uses third-party services for:

Stock data and financial information
Analytics and performance monitoring
Subscription management
Authentication

These services have their own privacy policies and terms of service.

6.3 Data Accuracy

Stock data is sourced from licensed third-party data providers. However, we cannot guarantee real-time accuracy. We are not responsible for:

Errors, omissions, or delays in third-party data
Decisions made based on inaccurate data
Service interruptions from third-party providers

7. Intellectual Property

7.1 Our Rights

The App and all content, features, and functionality are owned by Smartin and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

7.3 Restrictions

You may NOT:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App
Remove any copyright or proprietary notices
Use the App for any commercial purpose
Use automated systems to access the App (bots, scrapers, etc.)
Attempt to gain unauthorized access to our systems

7.4 Third-Party Content

The App may include references to fictional character archetypes for entertainment purposes. All such content is original creative work by Smartin. Any resemblance to other characters or works is coincidental and used for parody and commentary purposes.

8. User Conduct

You agree NOT to:

Use the App for any illegal purpose
Violate any laws, regulations, or third-party rights
Transmit harmful code (viruses, malware, etc.)
Interfere with or disrupt the App's operation
Attempt to circumvent usage limits or security measures
Harass, abuse, or harm other users
Use the App to manipulate securities markets

9. Disclaimers and Limitations of Liability

9.1 "AS IS" Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 No Liability for Investment Decisions

WE ARE NOT LIABLE FOR:

Any investment losses or damages
Decisions made based on information in the App
Missed opportunities or trading losses
Third-party data errors or omissions

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Smartin, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your investment decisions.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Israel, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or the App shall be subject to the exclusive jurisdiction of the courts in Tel Aviv, Israel.

11.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Children's Privacy

The App is intended for users aged 13 and older. We comply with the Children's Online Privacy Protection Act (COPPA):

We do not knowingly collect personal information from children under 13
Users aged 13-17 should have parental or guardian consent before using the App
If you believe a child under 13 has provided us with personal information, contact us immediately and we will delete it

Parents and guardians: Please supervise minors' use of the App. While the App provides educational content, investment decisions should be made by adults.

13. Changes to Terms

We may modify these Terms at any time by posting updated Terms in the App and updating the "Last Updated" date. Your continued use of the App after changes constitutes acceptance.
